1. Overview Dewin Co provides operational strategy, systems design, learning and development, and consulting services for service-based businesses. By engaging Dewin Co for any project, consulting session, or ongoing fractional support, you agree to the following terms.
2. Scope of Work All services are outlined in a written proposal or agreement before work begins. Consulting sessions are scoped at the time of booking and are limited to the agreed session duration. Any additional requests outside the agreed scope will be discussed and, if approved, quoted separately.
3. Communication and Availability Communication takes place at a pre-organised time, Monday to Thursday, Brisbane time (AEST). Email is the primary form of contact unless otherwise agreed. Dewin Co operates as a fractional partner rather than a full-time employee, and schedules work to balance multiple clients and commitments.
4. Payment Terms A deposit or retainer is required to confirm your booking. Consulting sessions are paid in full at the time of booking. Invoices for all other services are issued according to the agreed schedule and payable within 7 days. Work may pause if payment is delayed. All prices are quoted in Australian Dollars (AUD) and exclusive of any applicable taxes.
5. Cancellations and Rescheduling If you need to reschedule or cancel a project or retainer period, please review your service agreement for your termination notice period. For consulting sessions, at least 48 hours' notice is required to reschedule. Cancellations inside 48 hours will forfeit the session fee. Deposits are non-refundable but may be transferred to a future booking at Dewin Co's discretion.
6. Confidentiality All information shared during our work together is treated as confidential. Dewin Co may refer to general project outcomes or lessons learned for marketing purposes but will never disclose identifying details without permission.
7. Intellectual Property Upon full payment, all materials, frameworks, and deliverables created specifically for your business become yours to use internally. Dewin Co retains ownership of underlying methodologies, templates, and frameworks used to produce them. Guidance and recommendations provided during consulting sessions remain the intellectual property of Dewin Co.
8. Responsibilities Dewin Co commits to delivering work with professionalism, care, and clear communication. The client commits to providing timely information, feedback, and access to relevant systems or staff as needed for the project to progress smoothly. For consulting sessions, clients are encouraged to come prepared with relevant context and questions to make the most of the time.
9. Liability Dewin Co provides strategic, operational, and consulting services in good faith. While every effort is made to ensure accuracy and effectiveness, Dewin Co is not liable for any indirect, incidental, or consequential loss arising from the use of its services or recommendations.
10. Termination Either party may end the agreement with written notice if communication has broken down or terms are not being met. Work completed up to the termination date will be invoiced accordingly. Consulting sessions are not subject to termination provisions but are governed by the cancellation policy in section 5.
11. Governing Law These terms are governed by the laws of Queensland, Australia. Any disputes will be handled under that jurisdiction.
